Do I need to register as a Foreign LLC in Connecticut?

Probably. Although Connecticut doesn’t formally define what it means to conduct business within the state, in most cases, you will need to register as a foreign LLC if you hire Connecticut employees, sell goods or services to Connecticut residents, or have a physical presence within the state (such as a store or warehouse).

How do I register my Connecticut Foreign LLC?

The easiest way to register your foreign LLC is to hire us to file for you. However, if you’d rather use the DIY method, you’ll need to follow the steps outlined below. Remember, you can still hire us for Connecticut registered agent service (just $49 a year).

1. Make sure your LLC’s name is available.

The first step to registering your Connecticut foreign LLC is to ensure your business name is available. To see if your LLC’s name is available, conduct a business name search. You must establish a DBA (or alternate) name if your business name is unavailable.

2. Appoint a Connecticut registered agent.

Per CT Gen Stat § 34-243n, all Connecticut LLCs (foreign and domestic) must have and maintain a registered agent. Your registered agent must be a Connecticut resident (over 18) or a company authorized to provide registered agent service. When you hire us to register your foreign LLC, we’ll act as your Connecticut registered agent.

Although you can act as your registered agent, it comes with some risks. For example, when you file the Foreign Registration Statement, you must list your registered agent’s name and physical address. When you hire us, we’ll list our business address instead of your personal information. You can maintain your privacy and avoid unnecessary junk mail.

3. File a Foreign Registration Statement.

To qualify as a foreign LLC in Connecticut, you must file a Foreign Registration Statement with the Secretary of State. The filing fee is $120. Here’s a complete list of information you must include:

  1. Name and address of the person filing—this is where the state will send your confirmation.
  2. The legal name of your LLC.
  3. DBA (or alternate) name, if applicable.
  4. State where you initially formed your LLC.
  5. Date your LLC was initially formed.
  6. Date your LLC began or will begin conducting business in Connecticut.
  7. Principal office address (physical only)
  8. Principal mailing address (street or P.O. box)
  9. Business address in your home state.
  10. Company email address. You may select “none” if you don’t have one.
  11. NAIC code. To find your code, check the NAIC website.
  12. Name and street address of your Connecticut registered agent.
  13. Your registered agent’s signature.
  14. Member/manager information. You must include the name and address of at least one member/manager.
  15. Name and signature of the person filing.

The Foreign Registration Statement ($120) can be filed online, by mail, or in person.
